The Asian Pacific Federation of Branches of the World’s Poultry Science Association

CONSTITUTION:

ARTICLE I NAME

The name of the organization shall be “The Asian Pacific Federation of Branches of The World’s Poultry Science Association”

ARTICLE II OBJECTS

The objects of the Federation are:

A.To promote the advancement of knowledge in all aspects of Poultry Science and the Poultry Industry with particular reference to those countries embraced by the Federation.

B.The dissemination of knowledge pertaining to all branches of the Poultry Industry.

C.To encourage co-ordination between the Branches of the Federation.

D.To institute Regional Conventions whenever necessary and possible, and to assist in the promotion of World’s Poultry Congresses.

ARTICLE III MEMBERSHIP

A.Membership of the Federation will be open to all Branches of the World’s Poultry Science Association in the Asian and Pacific region. (Far East and South Pacific)

B.Contributions by the Branches towards the expenses of the Federation will be based on the number of members of each Branch.

C.The amount of annual contribution will be laid down from time to time by the Executive Committee which shall be empowered to adjust the contribution rates to meet important changes in exchange rates.

D.In the case of a failure of a Member Branch to pay the subscription before the end of the first year in a financial period, membership of the federation will be forfeited.

ARTICLE IV EXECUTIVE COMMITTEE AND OFFICERS

A.The affairs of the Federation shall be managed by an Executive Committee composed of one representative nominated from each Branch represented in the Federation. No Branch will have more than one representative.

B.The Officers of the Federation shall consist of a President, a Senior Vice-President and a junior Vice-President who shall be elected from among the members of the Executive Committee.

C.A Secretary-Treasurer shall be appointed by the President, from among the Branch members in his country, such appointee to be ex-officio, a member of the Executive Committee but without voting rights.

D.For the election of President and Vice Presidents, nominations may be made in writing by any Branch of the Federation not later than 28 days before the date of such an election. If nominations are not received for any of the positions then nominations may be made by members of the Executive Committee. A majority vote of the Executive Committee shall be required for the election.

E.Apart from the initial term of three years (1982/1984), each term of office as President, Vice-Presidents and Secretary-Treasurer shall be for four years. Each member of the Executive Committee will normally be appointed for four years, but a branch can, at any time, replace its representative.

F.In the event of the elected representative of any Branch being unable to attend any meeting, the Branch can appoint a deputy to attend and act in his place.

G.In the event of the elected representative of any Branch, or his deputy being unable to attend any meeting, the Branch may nominate in writing, a proxy from among the members of the Executive Committee.

H.In the event of the resignation or death of the President, the Senior Vice-President shall assume the office of President immediately.

ARTICLE V FINANCE

A.The finances of the Federation shall be managed by the Secretary-Treasurer and subject to the Executive Committee’s approval.

B.Apart from the initial financial period of one year (1982), each financial period shall be of two years, commencing on 1st January and terminating on 31st December of the following year.

C.The accounts of the Federation shall be audited after termination of each financial period by an Auditor appointed by the Executive Committee.

ARTICLE VI MEETINGS

A.General Meetings of the Executive Committee may be called by the President or on the written request of not less than three of its members. Forty-two (42) days notice shall be given of all General Meetings.

B.A quorum for the Executive Committee shall consist of the President or a Vice-President and not less than three other members.

C.A Bi-ennial General Meeting shall be held as soon as conveniently possible after the end of each financial period for the consideration of the Bi-ennial Report and Financial Statement, and General Business.

ARTICLE VII CONSTITUTION

This constitution can only be altered at a Bi-ennial General Meeting or any Extraordinary General Meeting called for that purpose. The Secretary-Treasurer must receive notice of proposed alterations not later than twenty eight (28) days before the date of the meeting.

ARTICLE VIII DISPOSAL OF ASSETS

If the Federation ceases to exist as a separate body, then the assets of the Federation shall be divided among its member Branches in proportion to the number of members of each Branch.
